Terms of Service

Please read these Terms carefully before using F&FPayMe. By accessing or using our platform, you agree to be bound by these terms.
1 Service Description
F&FPayMe ("the Platform", "we", "us", or "our") is a software-as-a-service (SaaS) tool that provides payment monitoring, notification, and management infrastructure. F&FPayMe is not a payment processor, payment institution, money transmitter, or financial intermediary of any kind.
The Platform enables users to:
- Monitor incoming PayPal transactions associated with their own PayPal account.
- Generate payment links and embeddable payment widgets.
- Receive real-time notifications via Discord, Webhook, and Email.
- Access a Holder Network to connect with third-party Holders who receive PayPal payments on their behalf.
- Access payment analytics and management dashboards.
At no point does F&FPayMe hold, process, move, or have custody of any funds. All financial transactions occur directly between end parties (buyers, users, Holders) using third-party payment networks.
2 Acceptance of Terms
By creating an account or using the Platform, you confirm that:
- You are at least 18 years of age.
- You have the legal capacity to enter into binding agreements.
- You will use the Platform in compliance with all applicable local, national, and international laws and regulations.
- You have independently reviewed and accepted the terms of any third-party service you use in conjunction with this Platform (including PayPal's User Agreement and Acceptable Use Policy).
3 Third-Party Services & PayPal Compliance
F&FPayMe integrates with or operates alongside third-party payment platforms including PayPal. You are solely responsible for ensuring that your use of any third-party service complies with that service's own terms of service, acceptable use policies, and applicable regulations.
In particular, you acknowledge and agree that:
- PayPal's "Friends & Family" (Personal Payment) feature is governed exclusively by PayPal's User Agreement and Acceptable Use Policy. F&FPayMe does not endorse, guarantee, or warrant that any particular use of PayPal is permitted under PayPal's terms.
- You are responsible for independently verifying that your usage of PayPal and any other payment provider complies with their policies.
- F&FPayMe has no control over and assumes no liability for the policies, operations, or decisions of PayPal, cryptocurrency networks, or any other third-party payment service.
4 Account Freezes, Suspensions & Frozen Funds Critical Disclaimer
Important Notice Regarding Third-Party Account Actions
F&FPayMe bears absolutely no responsibility or liability for the freezing, suspension, limitation, or permanent restriction of any PayPal account, cryptocurrency wallet, or any other third-party account used in connection with our Platform, regardless of the cause.
You expressly acknowledge and agree that:
- Account freezes and fund holds are decisions made exclusively by the relevant third-party service (e.g., PayPal) based on their own risk assessment. F&FPayMe has no ability to prevent, reverse, or influence such decisions.
- Any funds held, frozen, or withheld by PayPal or any other third-party platform are entirely outside F&FPayMe's control and liability. F&FPayMe will not reimburse, compensate, or be held financially responsible for such funds.
- If a Holder's PayPal account is frozen or restricted, F&FPayMe is not responsible for the recovery, release, or loss of those funds. Any disputes are strictly between the Holder, the relevant payers, and PayPal.
- Using our Platform does not protect your PayPal account from PayPal's own enforcement actions.
- You assume all risk associated with using third-party payment services. F&FPayMe strongly recommends that you do not maintain large balances in any single PayPal account and that you regularly withdraw funds.
5 Holder Network
The Holder Network is a marketplace feature that connects Platform users ("Clients") with third-party operators ("Holders") who receive payments on behalf of Clients and redistribute them in cryptocurrency.
5.1 Platform Role
F&FPayMe provides software infrastructure that facilitates the connection between Clients and Holders. F&FPayMe is not a party to any payment agreement between a Client and a Holder. F&FPayMe does not receive, hold, or transmit funds on behalf of either party.
5.2 Client Responsibilities
- You are solely responsible for selecting a Holder and for due diligence regarding that Holder's reliability and trustworthiness.
- F&FPayMe pre-screens Holders but does not guarantee their performance, honesty, or continued availability.
- Any dispute between you and your Holder is a matter between you and the Holder. F&FPayMe will not adjudicate, mediate, or be financially liable for such disputes.
5.3 Holder Responsibilities
By operating as a Holder you confirm that:
- You have independently assessed applicable legal requirements in your jurisdiction for receiving and redistributing payments on behalf of third parties.
- You have independently assessed whether operating as a Holder classifies you as a Virtual Asset Service Provider (VASP) in your jurisdiction and have obtained any necessary registrations or licenses.
- You will comply with all applicable Anti-Money Laundering (AML) and Know Your Customer (KYC) obligations in your jurisdiction.
- F&FPayMe is not liable for any regulatory action, fines, or sanctions against you arising from your activities as a Holder.
5.4 Payout Delays and Failures
F&FPayMe is not responsible for payout delays, failures, or losses caused by Holder non-performance, cryptocurrency network congestion, incorrect wallet addresses, or any other factor outside F&FPayMe's direct control.
6 Subscription, Fees & Refunds
- Access to advanced features requires an active paid subscription. Plans and prices are listed on our website and may change with notice.
- Subscriptions are billed on a recurring basis. You are responsible for cancelling prior to renewal if you do not wish to be charged.
- All payments are final and non-refundable unless required by applicable consumer protection law. We do not provide refunds for partial billing periods.
- We reserve the right to suspend or terminate your account for non-payment of subscription fees.
- Subscription fees do not include any fees charged by Holders or third-party payment processors.
7 Prohibited Uses
You agree not to use the Platform for:
- Any illegal activity, including money laundering, tax evasion, fraud, or financing of illegal activities.
- Processing payments for prohibited goods or services as defined by applicable law or the terms of any payment processor you use.
- Deceiving buyers or third parties about the nature of a transaction.
- Circumventing the terms of service of any third-party platform in a manner that creates liability for F&FPayMe.
- Posting or transmitting malware, engaging in denial-of-service attacks, or any activity that disrupts the Platform's infrastructure.
- Reselling or sublicensing access to the Platform without written consent from F&FPayMe.
We reserve the right to immediately terminate accounts we reasonably believe are engaged in prohibited activities.
8 Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
F&FPayMe does not warrant that:
- The Platform will be uninterrupted, error-free, or completely secure at all times.
- Payment detection will be instantaneous or infallible under all circumstances.
- Results or outcomes achieved using the Platform will meet your expectations.
- Third-party services integrated with the Platform will function reliably or remain available.
9 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, F&FPAYME AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages.
- Loss of revenue, profits, data, goodwill, or business interruption.
- Funds frozen, withheld, or lost due to third-party platform decisions (including PayPal account freezes or limitations).
- Losses arising from Holder non-performance, fraud by third parties, or incorrect cryptocurrency wallet addresses.
- Losses arising from your failure to comply with the terms of any third-party service.
- Service interruptions caused by factors beyond our reasonable control (force majeure, third-party outages, cyberattacks).
In no event shall F&FPayMe's total aggregate liability to you exceed the total amount you paid to F&FPayMe in subscription fees during the three (3) calendar months preceding the claim.
10 Indemnification
You agree to indemnify, defend, and hold harmless F&FPayMe and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your use of the Platform in violation of these Terms.
- Your violation of any applicable law or the terms of any third-party service.
- Any claim by a buyer, Holder, or other third party arising from transactions you facilitated using the Platform.
- Your activities as a Holder, including any regulatory action resulting from your operations.
11 Termination
We may suspend or terminate your account and access to the Platform at any time, with or without notice, for:
- Violation of these Terms or any applicable law.
- Suspected fraud, money laundering, or other illegal activity.
- Non-payment of subscription fees.
- Any activity that poses a risk to the Platform, its users, or third parties.
Upon termination, your right to use the Platform ceases immediately. Data may be retained or deleted in accordance with our Privacy Policy and applicable law.
You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of any prepaid fees.
12 Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute may be submitted to the competent courts of the Platform operator's jurisdiction.
Nothing in this section shall prevent either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.
13 Changes to These Terms
We reserve the right to update these Terms at any time. Significant changes will be communicated via email or a prominent notice on the Platform. Your continued use of the Platform after the effective date of any change constitutes your acceptance of the updated Terms.
